The book compares the basic principles of directors´ and officers´ liability and insurance in the United States of America and Austria. Following a discussion of the most important sources of personal liability of directors and officers in the U.S., the concept of D&O insurance is explained in detail. Afterwards, the principles of Austrian D&O liability and insurance are described. The book also contains a bilingual glossary on D&O liability and insurance terms.
